1. Labor&Employment:

2. Real Estate:

  • Participating in a complex best use analysis exercise of over 40 properties in Moscow owned by a major energy provider;
  • Advising Jones Lang LaSalle on various matters relating to its commercial activity, including real estate acquisitions and lease, property management, project management (fit-out and construction), and compliance;
  • Representing a private investor in acquisition of a share in a confectionery business in the Moscow region (including acquisition and mortgage of company shares, land plots, buildings, and incomplete construction);
  • Representing a private investor in acquisition of a heritage building with the total area of over 3000 sq.m in Moscow;
  • Representing Nikon in negotiations with the landlord in relation to the lease of approx. 2000 sq.m of office and service center premises in a newly developed Class A building in Moscow;
  • Advising a real estate investment and development company on all Russian law aspects of its property projects, including due diligence, acquisition, development, management, and disposal of commercial real property in Moscow and St. Petersburg, secured refinancing of such property, and international private placement;
  • Managing a full-scope legal due diligence of over 500 trade centers in central Russia for a leading international retailer;
  • Representing a leading international real estate services company in drafting and negotiating the property management agreement in relation to one of the biggest shopping centers in St. Petersburg;
  • Advising a leading Russian commercial bank on various debt financing transactions involving mortgage of all types of real property (including land, commercial property in various regions, and property under construction) and other real estate related security;
  • Advising a major European manufacturer in the sale and leaseback of industrial buildings and associated long-term land lease;
  • On behalf of tenants and landlords, advising on, as well as drafting and negotiating, space leases in office buildings, ground leases, retail leases, and related documents, including preliminary agreements, parent guarantees, brokerage agreements, etc. Restructuring of lease relations within groups of companies;
  • Managing internal legal function of a major international firm specializing in real estate services, which included coordination of all legal matters related to company’s activity in Russia, Ukraine and Kazakhstan, as well as critical evaluation and perfection of the legal function.

3. Dispute Resolution:

  • Representing a group of foreign bondholders in a series of disputes with a major Russian company related to enforcement of US$55 million Eurobonds in Russia (disputes with regard to enforcement of mortgage and share pledge, cases on bankruptcy of the debtor and its subsidiary company, challenge of enforcement of an arbitral award, challenge of promissory note guarantees, etc.);
  • Representing a Russian subsidiary company of a European investment company in two disputes with the government of Moscow related to payment of US $6 million for purchase of right to enter into a land lease agreement;
  • Representing a well-known European investment company in several litigations related to recovery of US $5 million debt under lease agreements, eviction and challenge of validity of that leases;
  • Representing several investors in course of bankruptcy of a Russian bank;
  • Representing a western manufacturer in a corporate dispute related to withdrawal of share from a joint venture company by a Russian partner;
  • Representing a major Russian industrial group in a series of corporate litigations under Russian, South African, and Swiss law;
  • Representing a Kazakh oil company in two disputes related to recovery of US $20 million debt in the International Commercial Arbitration Court at the RF Chamber of Commerce and Industry and in a Kazakh state court;
  • Defending Russian assets of a major Kazakh oil company in a series of litigations brought by a Russian «raider» company in attempt to gain control over the assets;
  • Representing a major US-based IT company in a flow of administrative proceedings and related litigation in the field of currency control;
  • Representing a major Japanese autocomponent manufacturer in a product liability dispute;
  • Advising a major Indian oil company on enforcement of an arbitral award in Russia;
  • Representing a major US-based IT company in several disputes with customs authorities related to penalty for improper declaration of imported goods;
  • Representing a US-based oil services company in customs authorities and in the RF Financial-Budget Supervision Service in course of four administrative investigations against the client and two related litigations;
  • Representing a Russian nonprofit organization in several disputes related to recovery of payments under construction contracts;
  • Representing a European trading company (natural resources) in customs authorities and in a court dispute related to reimbursement of overpaid customs duties and taxes;
  • Representing a major European financial holding in several disputes against its debtors in Russia.

4. M&A/Transaction support:

  • Representing a private business owner in oil&gas industry in structuring of his domestic operations;
  • Representing shareholders of an IT trading company in course of selling its business to one of the largest Russian banks;
  • Representing an international payment system in all legal aspects of Russian operations and transfer of its operations to the CB-NSPK facilities;
  • Representing the group of investors in the process of restructuring of debt of newly acquired business (debt restructuring, security, organization of corporate governance system with participation of the main creditor);
